Payment Terms
Effective: July 24, 2025
Please read the following payment terms carefully. If you have any questions about these terms, don’t hesitate to contact us.
1. Introduction
Section titled “1. Introduction”These Payment Terms govern your use of the Paid Services (each, a “Paid Service” and collectively, the “Paid Services”) offered by socra Inc. (doing business as socra) (“socra,” “we,” “us,” or “our”), including socra Pro subscriptions, which are available as part of a recurring paid membership subscription (“Membership”) for individual users and team accounts. Your use of the Paid Services and any related transactions are subject to (i) these socra Payment Terms, and (ii) the Terms of Service, Privacy Policy, Community Rules, and all policies incorporated therein (collectively, the “User Agreement”). By accepting these Terms, you acknowledge that you have read, understood, and agreed to be bound by all of the terms and conditions contained herein, as well as any other relevant terms and conditions governing your use of our services.
2. Acceptance and Auto-Renewal Notice
Section titled “2. Acceptance and Auto-Renewal Notice”IMPORTANT AUTO-RENEWAL NOTICE: BY SIGNING UP FOR ANY PAID SERVICE, YOU ACKNOWLEDGE AND AGREE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS OF THE SAME LENGTH AS YOUR INITIAL SUBSCRIPTION TERM AT THE THEN-CURRENT SUBSCRIPTION RATE. YOUR SUBSCRIPTION WILL CONTINUE TO RENEW UNTIL YOU CANCEL. YOU MAY CANCEL AT ANY TIME BY VISITING YOUR ACCOUNT SETTINGS.
By signing up for and/or using any Paid Service, you acknowledge and agree that your use of the Paid Services and any related transactions are subject to these Payment Terms and the User Agreement. These Terms shall form a binding agreement between you and socra. If you do not agree to these Terms, you must immediately cease using our Paid Services.
3. Changes to Terms
Section titled “3. Changes to Terms”We reserve the right, at our sole discretion, to modify or replace this Payment Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Payment Terms. If you do not agree to the new Payment Terms, you are no longer authorized to use the Service.
4. Changes to Paid Services
Section titled “4. Changes to Paid Services”Our Paid Services evolve constantly. We reserve the right to change, suspend, or discontinue any Paid Service or change or modify the features of any Paid Service, in our sole discretion. Where reasonably possible, we will provide advance notice of material changes to Paid Services. socra will not be liable to you or any third party for any modification, suspension, or discontinuation of any Paid Service, except as required by applicable law.
5. Changes to Pricing
Section titled “5. Changes to Pricing”Prices for Paid Services, including recurring Membership fees for socra Pro Memberships, are subject to change from time to time. If any price increase impacts you, we will provide at least thirty (30) days’ advance notice by email and by posting a notice in your account dashboard. You are responsible for regularly reviewing the pricing information on our website. If you do not agree to any price increase that affects your subscription, you may cancel your Membership before the price increase takes effect. If you do not cancel your Membership before the effective date of a price increase that applies to you, you will be deemed to have accepted the new price.
6. Eligibility and Age Requirements
Section titled “6. Eligibility and Age Requirements”To sign up for our Paid Services, you must have an account with us and be at least 13 years old. If you are under 18, you may only use our Paid Services with the active supervision and verifiable consent of a parent or legal guardian who agrees to be bound by these Terms and is responsible for all charges. By signing up for our Paid Services, you represent and warrant that you meet these age requirements or have obtained proper parental consent. We reserve the right to request verification of age or parental consent at any time.
7. Individual Membership Terms and Auto-Renewal
Section titled “7. Individual Membership Terms and Auto-Renewal”AUTO-RENEWAL TERMS: Your individual Membership will automatically renew at the end of each billing period (monthly or yearly, as selected) unless you cancel before the renewal date. You will be charged the then-current subscription rate for each renewal period. You may cancel your auto-renewing subscription at any time by visiting your account settings or contacting customer support.
CANCELLATION: To cancel your Membership, go to your account settings and select “Change Plan” under “Billing” or contact our customer support. Cancellation will be effective at the end of your current billing cycle, and you will retain access to Pro features until that time.
FREE TRIAL AUTO-CONVERSION NOTICE: If you sign up for a free trial, your trial will automatically convert to a paid Membership at the end of the trial period unless you cancel before the trial ends. You will be charged the full subscription fee when the trial period expires.
By signing up for an individual Membership, you agree to pay the stated Membership fee on a recurring basis through Stripe. Your Membership will automatically renew each month or year based on your chosen billing interval (monthly or yearly) unless you cancel your Membership. As part of your Membership, you will have access to socra Pro features.
8. Team Spaces and Multi-Seat Billing
Section titled “8. Team Spaces and Multi-Seat Billing”When a Pro subscriber adds other users to their space, it becomes a team space with per-seat billing. The space owner or administrator (“Space Owner”) who adds team members is responsible for all billing and payment obligations for the additional seats.
Team Space Billing
Section titled “Team Space Billing”- Adding users to your space creates billable seats charged on your existing billing cycle (monthly or yearly)
- Each seat allows one user to access Pro features within that space
- Billable seats include both active space members and pending invitations
- The Space Owner is responsible for payment of all billable seats in their space
Seat Management
Section titled “Seat Management”- Adding team members or sending invitations immediately increases billable seats on your subscription
- Removing team members or cancelling invitations decreases billable seats for the next billing cycle
- Seat additions are billed immediately at full price for the current billing period
- Seat removals take effect at the start of your next billing cycle
Space Owner Authority
Section titled “Space Owner Authority”The Space Owner has full authority to:
- Add or remove team members from their space
- Send and manage invitations to their space
- Access billing information and payment methods for their subscription
- Cancel their subscription (which affects the entire team space)
Billing Responsibility
Section titled “Billing Responsibility”The Space Owner is solely responsible for:
- All charges related to seats in their team space
- Payment for all billable seats, including pending invitations
- Ensuring compliance with these terms by all space members
- Managing their subscription that covers the team space
Billing Cycle Policy
Section titled “Billing Cycle Policy”- Adding seats: Full price charged immediately for the current billing period
- Removing seats: Reduction takes effect at the start of your next billing cycle
- No prorated refunds or credits for partial billing periods
Space Member Terms
Section titled “Space Member Terms”By accepting an invitation to join a team space:
- You agree to comply with these Payment Terms and the User Agreement
- You acknowledge that the Space Owner controls access to the team space
- You understand that your access may be revoked at any time by the Space Owner
- You understand that only the Space Owner can modify the subscription that covers the space
Team Space Access Termination
Section titled “Team Space Access Termination”- Space Owners may remove individual members from their space at any time
- If a Space Owner cancels their subscription, all team members lose Pro access at the end of the billing period
- Individual space members cannot cancel the Space Owner’s subscription
- Space Owners remain responsible for all charges incurred up to the cancellation date
9. User Agreement
Section titled “9. User Agreement”By using our Paid Services, you agree to comply with the User Agreement. You must always follow and comply with the User Agreement when using the Paid Services.
10. Accepted Forms of Payment
Section titled “10. Accepted Forms of Payment”You can pay for your Membership through Stripe by using a credit or debit card, or by using a third-party payment service that is integrated with Stripe (such as Apple Pay or Google Pay). You may also use other forms of payment that are supported by Stripe, such as ACH bank transfers. We reserve the right to add or remove accepted forms of payment at any time without notice to you.
11. Refunds and Returns
Section titled “11. Refunds and Returns”General Policy: Except as required by applicable law or as described below, all payments for Paid Services are final and non-refundable. However, socra may, in its sole discretion, provide refunds or credits on a case-by-case basis.
Consumer Rights: Nothing in these Terms affects your statutory rights as a consumer under applicable law, including but not limited to:
- EU consumer withdrawal rights (14-day cooling-off period for EU residents)
- State consumer protection laws
- Rights under applicable credit card or payment processor policies
Billing Disputes: If you believe that a charge was made in error or without authorization, please contact us immediately. We will investigate all good faith billing disputes. You may also contact your bank or payment provider to initiate a dispute.
Voluntary Refunds: While not required, we may choose to provide refunds in certain circumstances, such as service outages, billing errors, or customer satisfaction issues, at our sole discretion.
12. Paid Services Are Non-Transferable Between Accounts
Section titled “12. Paid Services Are Non-Transferable Between Accounts”Each purchase of a Paid Service applies to a single socra account. You may not transfer any Paid Service or your account to any other person or entity. Team space subscriptions are tied to the Space Owner’s account and cannot be transferred to another user.
13. Restrictions and Obligations
Section titled “13. Restrictions and Obligations”You agree that you will not violate any laws or third-party rights, or use the Paid Services for any illegal, unauthorized, or improper purposes. You also agree not to interfere with or disrupt the Paid Services, servers, or networks connected to the Paid Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Paid Services. You must comply with all applicable laws, rules, and regulations when using the Paid Services.
14. Taxes and Fees
Section titled “14. Taxes and Fees”You are responsible for and agree to pay any applicable taxes, duties, tariffs, and fees related to the purchase of Paid Services. If we are required by law to collect and remit any such taxes, we will add them to your invoice and collect them from you.
15. Membership Cancellation and Termination
Section titled “15. Membership Cancellation and Termination”Individual Memberships
Section titled “Individual Memberships”You may cancel your individual Membership at any time by going to your settings and selecting “Change Plan” under “Billing.”
Team Spaces
Section titled “Team Spaces”Only the Space Owner may cancel their subscription (which affects the entire team space). Space members cannot cancel the Space Owner’s subscription but may leave the space.
Termination by socra
Section titled “Termination by socra”We reserve the right to terminate or suspend your Membership for cause, including if we reasonably believe that you have violated these Payment Terms or the User Agreement. Where possible, we will provide notice and an opportunity to cure violations before termination, except in cases of serious misconduct or legal requirements. We may also terminate your Membership for convenience with thirty (30) days’ notice.
16. Disclaimer
Section titled “16. Disclaimer”TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PAID SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY FOR INFORMATION, SERVICES, UNINTERRUPTED ACCESS, OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE PAID SERVICES, INCLUDING WITHOUT LIMITATION THE SOFTWARE LICENSED TO YOU AND THE RESULTS OBTAINED THROUGH THE PAID SERVICES. SPECIFICALLY, WE DISCLAIM ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: 1) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, PRODUCTS OR SERVICES AND 2) ANY WARRANTIES OF TITLE, WARRANTY OF NON-INFRINGEMENT, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
17. Limitation of Liability
Section titled “17. Limitation of Liability”TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOCRA BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING THOSE RESULTING FROM LOSS OF USE, DATA, OR PROFITS, WHETHER OR NOT FORESEEABLE OR WHETHER OR NOT SOCRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR BASED ON ANY THEORY OF LIABILITY, INCLUDING BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE OR OTHER TORTIOUS ACTION, OR ANY OTHER CLAIM ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR ACCESS TO THE PAID SERVICES. IN ANY CASE, SOCRA’S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PAID SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
18. Indemnification
Section titled “18. Indemnification”You agree to indemnify, defend, and hold harmless socra and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, actions, suits, or proceedings, as well as any damages, liabilities, settlements, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Paid Services, including but not limited to your violation of these Payment Terms or any other agreement with socra, your violation of any applicable law or regulation, or your violation of any third-party right, including without limitation any copyright, property, or privacy right. For team spaces, the Space Owner agrees to indemnify socra for all activities and violations by space members in their team space. socra reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with socra in asserting any available defenses.
19. Dispute Resolution and Governing Law
Section titled “19. Dispute Resolution and Governing Law”Governing Law: These Payment Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Dispute Resolution: Any dispute arising out of or in connection with these Payment Terms, including any question regarding their existence, validity, or termination, shall be resolved as follows:

Informal Resolution: Before initiating any formal dispute resolution, the parties agree to attempt to resolve the dispute informally by contacting our customer support team.

Small Claims Court: Either party may pursue claims in small claims court if the claims qualify for such court’s jurisdiction.

Binding Arbitration: For all other disputes, the parties agree to resolve disputes through binding arbitration conducted by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the state of Delaware, USA, in English. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Class Action Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AND SOCRA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Consumer Rights: Nothing in this dispute resolution section affects any statutory rights that cannot be waived under applicable consumer protection laws.
