Testing Agreement
Effective: March 14, 2023
Hello, and thank you for volunteering to be a tester for socra.
This socra Testing Agreement (“Agreement”) is made and entered into by and between the individual volunteering to test the socra platform (“Tester,” “you,” “your”) and socra Inc. (“socra,” “we,” “us,” or “our”). By participating in the socra Testing Program (“Program”), the Tester acknowledges and agrees to be bound by the terms of this Agreement.
1.0 Program Participation
Section titled “1.0 Program Participation”The Tester willingly agrees to utilize the socra platform and offer feedback and suggestions to the Company on the platform’s features, usability, and overall performance on a voluntary basis. It’s important to note that participation in the Program is entirely optional, and the Tester is free to leave the Program at any point for any reason.
2.0 Non-Disclosure
Section titled “2.0 Non-Disclosure”The Tester agrees to keep all information related to the Program and the socra platform confidential and shall not disclose such information to any third party without the prior written consent of the Company.
3.0 Intellectual Property
Section titled “3.0 Intellectual Property”The Tester acknowledges that the socra platform and all related materials, including but not limited to software, documentation, and intellectual property, are proprietary to the Company. The Tester agrees not to use or reproduce any of the Company’s proprietary materials for any purpose other than participating in the Program.
4.0 Suggestions
Section titled “4.0 Suggestions”The Tester agrees that all suggestions, comments, and feedback provided to the Company during the Program are the Company’s property and may be used by the Company for any purpose, including but not limited to product development and marketing. The Tester acknowledges that they will not be entitled to any compensation for the use of such suggestions, comments, or feedback.
5.0 Termination
Section titled “5.0 Termination”The Company may terminate the Tester’s participation in the Program at any time and for any reason. The Tester may also terminate their participation in the Program at any time without the need to provide notice to the Company.
6.0 Governing Law
Section titled “6.0 Governing Law”This Agreement shall be governed by and construed in accordance with the laws of the state of Texas.
7.0 Entire Agreement
Section titled “7.0 Entire Agreement”This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether oral or written.
8.0 Acknowledgment
Section titled “8.0 Acknowledgment”The Tester acknowledges that they have read and understand this Agreement and agree to be bound by its terms and conditions.
9.0 Update of Agreement
Section titled “9.0 Update of Agreement”The Company may update this Agreement from time to time without notice to the Tester. By continuing to participate in the Program, the Tester agrees to be bound by any updated terms and conditions of this Agreement.
